1. Acceptance of Terms

By accessing or using the APEXLABS website (the “Site”) or purchasing any products from APEXLABS LLC (“APEXLABS,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”), our Privacy Policy, Shipping Policy, Refund & Return Policy, and Research Disclaimer, all incorporated by reference. If you do not agree, you must not use the Site or purchase any products.

2. Nature of Products

All products sold by APEXLABS are research compounds intended exclusively for in-vitro laboratory research and educational purposes. Products are NOT intended for human consumption, veterinary use, therapeutic application, or any form of ingestion, injection, or topical application on humans or animals. These products are chemical reagents sold as reference standards for research and have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any purpose. 3. Prohibited Uses

Purchaser agrees NOT to use any product for:

• Human or animal consumption of any kind
• Clinical, therapeutic, or diagnostic purposes
• Compounding or formulation of products intended for human or animal use
• Any purpose that violates federal, state, or local laws and regulations
• Resale to parties who intend to use products for any prohibited purpose

Violation will result in immediate account termination and may be reported to the appropriate authorities.

4. Age Requirement

You must be at least 21 years of age to access this Site and purchase products. By using this Site, you represent and warrant that you are at least 21 years old and legally able to enter into a binding agreement.

5. Purchaser Qualifications

By placing an order, you represent that you are a qualified researcher affiliated with a research institution, educational facility, or are conducting legitimate independent research, and that you have the appropriate knowledge, training, and facilities to safely handle research compounds.

6. Assumption of Risk

Purchaser assumes all responsibility for the proper use, handling, storage, and disposal of all products. APEXLABS provides products exclusively as research reagents and makes no representations regarding safety or suitability for any purpose other than laboratory research. The purchaser is solely responsible for ensuring that all applicable safety protocols, institutional guidelines, and regulatory requirements are followed.

7. Eligibility & Delivery Area

You must be located within the United States to place an order. By using the Site, you represent and warrant that you meet all eligibility requirements stated in these Terms.

8. Orders and Pricing

All prices are in U.S. dollars and subject to change without notice. APEXLABS reserves the right to refuse or cancel any order at our sole discretion, including orders that appear to be placed for resale or that violate these Terms. In the event of a pricing error, we will notify you and provide the option to proceed at the correct price or cancel the order for a full refund.

9. Payment

Payment is due at the time of order placement. We accept cryptocurrency (Bitcoin, Ethereum, and USDC) and Zelle. We do not accept credit or debit cards and do not collect or store card or bank account details. Orders are created with a pending status and ship once your payment is received and verified. For cryptocurrency you may optionally provide the transaction hash, which lets us verify on-chain sooner; without it we match your payment by amount and timing, as we do for Zelle.

10. Shipping

Orders are shipped within the United States only. Please review our Shipping Policy for detailed information on processing times, delivery estimates, carriers, shipping options, and rates.

11. All Sales Final; Returns and Refunds

All sales are final. Due to the nature of research compounds and the need to guarantee product integrity and chain-of-custody, APEXLABS does not accept returns or exchanges and does not offer refunds once an order has been placed, except as expressly stated below or where a refund is required by applicable law.

• Defective or non-conforming products: If a product arrives defective, damaged on arrival, or materially different from what was ordered, you must contact us at support@shopapexlabs.net within 7 days of delivery with your order number and photographic evidence. If we verify the defect, we will, at our sole discretion, replace the product or issue a refund for that product. This is your exclusive remedy.
• No returns of opened products: For safety and integrity reasons, opened products cannot be returned under any circumstances.
• Order cancellation: Orders may only be cancelled before payment is verified/processed. Once payment is verified and the order enters fulfillment, it cannot be cancelled.

12. Intellectual Property

All content on the Site — text, graphics, logos, images, product descriptions, and software — is the property of APEXLABS LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

13. User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use. APEXLABS is not liable for any loss arising from your failure to protect your account information.

14. Shipping Risk and Address Accuracy

Title and risk of loss for all products pass to the purchaser upon our delivery of the package to the carrier. APEXLABS is not responsible for, and will not refund or replace, packages that are lost, stolen, delayed, or damaged by the carrier after they leave our facility, except as may be covered under any optional shipping insurance purchased. The purchaser is solely responsible for providing a complete and accurate shipping address. If an order is shipped to the address provided by the purchaser and is lost, misdelivered, delayed, or returned to us due to an incorrect, incomplete, or undeliverable address, APEXLABS is not liable and will not issue a refund or free reshipment; any reshipment will require repayment of product and shipping costs.

15. No Warranty

To the fullest extent permitted by law, all products are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, except for the limited defective-product remedy in Section 11. APEXLABS expressly disclaims all implied warranties, including merchantability and fitness for a particular purpose, to the extent permitted by applicable law. Because products are sold solely as research reagents, APEXLABS makes no representation that any product is fit for any use other than laboratory research.

16. Limitation of Liability

To the fullest extent permitted by law, APEXLABS LLC, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, purchase of products, or these Terms, regardless of the theory of liability. Our total aggregate liability for any claim shall not exceed the amount you paid for the specific product giving rise to the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless APEXLABS LLC and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from your use of the Site, your purchase or use of products, or your violation of these Terms — including, without limitation, any use of products in violation of Section 3.

18. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Florida.

19. Severability

If any provision of these Terms is found unenforceable, that provision shall be limited or severed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20. Changes to These Terms

APEXLABS reserves the right to modify these Terms at any time. Changes are effective upon posting to the Site with a revised “Last updated” date. Your continued use after changes constitutes acceptance.
